SLUGTAG TERMS AND CONDITIONS
These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Panoply Apps LLC (“Panoply Apps,” “SlugTag,” “we,” “our,” or “us”) governing your access to and use of the SlugTag mobile application, website, software, and any related services (collectively, the “Service” or “App”).
 
PLEASE READ THESE TERMS CAREFULLY.
BY DOWNLOADING, INSTALLING, ACCESSING, REGISTERING FOR, OR USING THE APP, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE LEGALLY BOUND BY THESE TERMS, OUR PRIVACY POLICY, AND ANY OTHER POLICIES INCORPORATED HEREIN BY REFERENCE.
IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE THE APP.
 
1. DEFINITIONS
For purposes of these Terms:
“App” means the SlugTag mobile application, website, software, and all related services.
“Driver” means any User who voluntarily offers transportation to another User.
“Passenger” means any User who voluntarily accepts transportation from another User.
“Ride” means any transportation arrangement voluntarily made between Users through or with the assistance of the App.
“Slugging” refers to the long-standing practice of voluntary informal commuter ride-sharing between private individuals.
“User Content” means any information, text, photographs, profile information, reports, comments, messages, ratings, or other content submitted through the App.
“Emergency Features” means any optional safety-related tools provided within the App, including but not limited to emergency contacts, countdown timers, emergency notifications, incident reporting, silent alerts, location sharing, or similar features.
“Third-Party Services” means any products or services not owned or operated by Panoply Apps LLC, including mapping providers, GPS providers, SMS providers, cloud hosting providers, authentication services, payment processors, analytics providers, or other integrated technologies.
 
2. ELIGIBILITY
You represent and warrant that:

• You are at least eighteen (18) years of age.

• You have the legal capacity to enter into this Agreement.

• You will comply with all applicable federal, state, district, and local laws.

• All information you provide is accurate, complete, and current.

• You are not prohibited from using the Service under any applicable law.

The Service is intended solely for adults.
Individuals under eighteen (18) years of age may not create an account or use SlugTag.
We reserve the right to suspend or terminate any account that violates this Section.

3. GEOGRAPHIC APPLICABILITY
SlugTag is intended for use by commuters and other Users in locations where the Service is made available.
These Terms apply to all Users regardless of location.
At launch, SlugTag is intended to operate primarily within:

• The Commonwealth of Virginia;

• The State of Maryland; and

• The District of Columbia.

Nothing within these Terms shall be interpreted as a representation that the Service is available in every jurisdiction.
Users are solely responsible for complying with all federal, state, district, and local laws applicable to their use of the App.
Nothing in these Terms waives or limits any rights or obligations that cannot legally be waived under applicable law.

4. NATURE OF THE SERVICE
SlugTag is solely a communications and coordination platform that enables Users to voluntarily connect with one another regarding informal commuter ride-sharing arrangements.
SlugTag does not arrange transportation.
SlugTag does not transport passengers.
SlugTag does not provide vehicles.
SlugTag does not employ drivers.
SlugTag does not supervise drivers.
SlugTag does not direct rides.
SlugTag does not control the actions of Users.
All transportation arrangements are made solely between independent Users.
Drivers and Passengers participate entirely at their own discretion.
Panoply Apps LLC is not a party to any transportation agreement between Users.

5. PLATFORM ONLY — NO TRANSPORTATION SERVICES
Panoply Apps LLC is not:

• a transportation company;

• a transportation network company (TNC);

• a rideshare provider;

• a taxi company;

• a limousine company;

• a bus company;

• a shuttle company;

• a common carrier;

• a freight carrier;

• a travel agency;

• a vehicle rental company;

• a chauffeur service; or

• a public transportation provider.
   

Panoply Apps LLC does not:

• own vehicles;

• lease vehicles;

• operate vehicles;

• inspect vehicles;

• maintain vehicles;

• repair vehicles;

• control vehicles;

• supervise rides;

• dispatch drivers;

• determine routes;

• determine fares;

• determine who rides together; or

• guarantee that any Ride will occur.

Drivers and Passengers are independent individuals acting on their own behalf.
Nothing in the App creates an employer-employee relationship, agency relationship, partnership, franchise, joint venture, or similar legal relationship between Panoply Apps LLC and any User.

6. VOLUNTARY PARTICIPATION
Participation in slugging and informal ride-sharing is entirely voluntary.
Users are under no obligation to:

• offer transportation;

• accept transportation;

• continue a Ride;

• communicate with another User; or

• meet another User.

Every decision regarding participation in a Ride is made solely by the individual User.
Panoply Apps LLC neither encourages nor discourages any particular transportation arrangement and makes no recommendation regarding whether Users should participate in any Ride.

7. ACCOUNT REGISTRATION
In order to use certain features of the App, you must create an account.
You agree to:

• provide truthful and accurate registration information;

• maintain accurate contact information;

• promptly update inaccurate information;

• use only one account unless expressly authorized otherwise;

• maintain the confidentiality of your login credentials.

You are solely responsible for all activity occurring under your account.
You agree to notify Panoply Apps LLC immediately if you become aware of any unauthorized access to your account.
We reserve the right to refuse registration, suspend accounts, or terminate accounts at our sole discretion, consistent with applicable law.

8. PHONE NUMBER VERIFICATION
SlugTag requires Users to verify a valid mobile telephone number through a one-time verification process.
Phone verification confirms only that a User has access to the submitted telephone number.
Phone verification does not verify:

• legal identity;

• age (except as represented by the User);

• criminal history;

• driving record;

• insurance status;

• vehicle ownership;

• vehicle condition;

• driver’s license validity;

• immigration status;

• employment;

• trustworthiness;

• honesty;

• safety;

• qualifications.

Users acknowledge that a verified phone number should never be interpreted as evidence that another User is safe, reliable, trustworthy, qualified, or suitable.

9. SMS COMMUNICATIONS
By creating an account, you consent to receive SMS or text messages relating to:

• account verification;

• authentication;

• security notifications;

• ride notifications;

• service announcements;

• emergency feature communications;

• account recovery;

• customer support.

Message and data rates may apply.
The frequency of messages may vary.
Your wireless carrier is not responsible for delayed or undelivered messages.
You may opt out of non-essential communications where permitted; however, opting out of essential operational or security messages may limit or prevent your ability to use certain features of the App.

10. ELECTRONIC COMMUNICATIONS
By using the Service, you consent to receive communications electronically.
You agree that notices, disclosures, agreements, updates, and other communications provided electronically satisfy any legal requirement that such communications be in writing.
Electronic communications may be provided through:

• the App;

• email;

• SMS;

• push notifications; or

• other electronic means.

11. GENERAL USER RESPONSIBILITIES
By using SlugTag, you agree to:

• comply with all applicable federal, state, district, and local laws;

• use the App responsibly and in good faith;

• exercise independent judgment before participating in any Ride;

• use appropriate caution when interacting with other Users;

• maintain accurate account information;

• protect your own personal safety and property.

You acknowledge that you—not Panoply Apps LLC—are solely responsible for the decisions you make before, during, and after using the Service.
The remaining rights, responsibilities, disclaimers, assumptions of risk, and limitations of liability are set forth in the following sections of these Terms. 
 
12. DRIVER RESPONSIBILITIES
Each Driver is solely responsible for determining whether to offer transportation to another User.
By offering a Ride through SlugTag, a Driver represents that, to the best of the Driver’s knowledge:

• The Driver possesses a valid driver’s license required by the applicable jurisdiction.

• The Driver is legally authorized to operate the vehicle being used.

• The vehicle is properly registered if required by law.

• The Driver maintains any automobile insurance required by applicable law.

• The Driver will comply with all applicable federal, state, district, and local laws.

• The Driver will not operate a vehicle while impaired by alcohol, illegal drugs, or any substance that materially affects safe operation.

• The Driver will exercise independent judgment regarding road conditions, weather, and passenger safety.

Drivers are solely responsible for determining whether they are physically and mentally capable of safely operating a motor vehicle.
Panoply Apps LLC does not verify any of the above representations.

13. PASSENGER RESPONSIBILITIES
Each Passenger is solely responsible for deciding whether to enter or remain in any vehicle.
Passengers agree to:

• Exercise reasonable judgment before accepting any Ride.

• Verify, to the extent they deem appropriate, the identity of the Driver.

• Comply with applicable laws while participating in a Ride.

• Wear a seat belt whenever required by law and whenever available.

• Exit or decline any Ride if they believe circumstances are unsafe.

• Conduct themselves respectfully toward Drivers and other passengers.

Passengers acknowledge that Panoply Apps LLC cannot determine whether any particular Ride is appropriate or safe.

14. USER CONDUCT
Users agree to conduct themselves lawfully and respectfully.
You agree that you will not:

• Harass, threaten, intimidate, stalk, or abuse another User.

• Engage in discrimination based upon race, color, religion, sex, national origin, disability, age, sexual orientation, gender identity, or any other protected status.

• Use the App for unlawful purposes.

• Misrepresent your identity.

• Create multiple fraudulent accounts.

• Share another person’s personal information without authorization.

• Interfere with another User’s use of the App.

• Upload malicious software or harmful code.

• Attempt to gain unauthorized access to the App or our systems.

• Circumvent security measures.

• Use automated software, bots, or scraping tools without authorization.

• Use the Service to facilitate criminal activity.

• Engage in fraudulent conduct.

• Make false emergency reports.

• Submit knowingly false reports concerning another User.

Violation of this Section may result in immediate suspension or permanent termination of your account.

15. PROHIBITED ACTIVITIES
Without limiting any other provision of these Terms, Users shall not use SlugTag to facilitate:

• Criminal activity.

• Human trafficking.

• Harassment.

• Stalking.

• Assault.

• Theft.

• Robbery.

• Fraud.

• Drug trafficking.

• Transportation of illegal controlled substances.

• Transportation of stolen property.

• Transportation of contraband.

• Transportation of hazardous materials in violation of applicable law.

• Transportation of firearms or other weapons in violation of applicable law.

• Transportation of explosives or incendiary devices.

• Any activity prohibited by federal, Virginia, Maryland, District of Columbia, or applicable local law.

Panoply Apps LLC reserves the right to cooperate with law enforcement agencies when legally required or when reasonably necessary to protect the safety of Users or the public.

16. NO BACKGROUND CHECKS
Unless expressly stated otherwise in writing, Panoply Apps LLC does not perform:

• Criminal background investigations;

• Driving record reviews;

• Driver qualification reviews;

• Employment verification;

• Identity verification beyond phone number verification;

• Vehicle inspections;

• Insurance verification;

• License verification;

• Drug testing;

• Psychological evaluations; or

• Any comprehensive screening of Users.

Users acknowledge that the absence of such screening is an intentional aspect of the Service and that each User remains solely responsible for determining whether to participate in any Ride.
No User should rely upon the existence of an account, profile, phone verification, or use of the App as evidence that another User has been screened or approved.

17. NO GUARANTEE OF SAFETY
Panoply Apps LLC makes no representation or warranty regarding:

• The safety of any Ride.

• The safety of any Driver.

• The safety of any Passenger.

• The honesty of any User.

• The identity of any User.

• The qualifications of any User.

• The driving ability of any Driver.

• The condition of any vehicle.

• Compliance by any User with applicable law.

• The behavior of any User before, during, or after a Ride.

Nothing contained within the App, including but not limited to:

• Verified phone numbers;

• User profiles;

• Profile photographs;

• Reports;

• Incident history;

• Emergency Features;

• Future ratings or reputation systems;

• Badges; or

• Any other feature,

shall constitute a representation, endorsement, certification, recommendation, or guarantee by Panoply Apps LLC regarding the safety, suitability, reliability, or trustworthiness of any User.
Users should always exercise their own independent judgment.

18. NO DUTY TO MONITOR
Panoply Apps LLC is under no obligation to monitor:

• User activity;

• User communications;

• Ride activity;

• GPS locations;

• Messages;

• User conduct;

• Vehicle movements; or

• Interactions occurring on or off the App.

Although Panoply Apps LLC may review reports, suspend accounts, or investigate complaints in its sole discretion, it assumes no legal duty to actively monitor the conduct of Users.
The failure to investigate or remove any User shall not be interpreted as approval, endorsement, or knowledge of that User’s conduct.

19. NO DUTY TO RESCUE OR INTERVENE
Users acknowledge that Panoply Apps LLC is not an emergency response provider.
Panoply Apps LLC has no obligation to:

• Dispatch emergency responders.

• Contact law enforcement.

• Contact medical providers.

• Monitor rides in real time.

• Confirm a User’s location.

• Verify that a Ride has begun or ended safely.

• Personally intervene in disputes between Users.

• Ensure that emergency communications are received or acted upon.

The existence of emergency-related features within the App does not create any special relationship, custodial relationship, fiduciary duty, or affirmative duty to protect, rescue, supervise, or monitor Users.

20. USER REPORTS
SlugTag may provide Users with the ability to report safety concerns, inappropriate conduct, or violations of these Terms.
Submission of a report does not guarantee:

• Investigation;

• Immediate review;

• Removal of another User;

• Corrective action;

• Suspension;

• Termination; or

• Any specific outcome.

Panoply Apps LLC reserves the sole discretion to determine what action, if any, will be taken in response to reports.
Users acknowledge that Panoply Apps LLC may be unable to independently verify allegations contained in reports.

21. USER CONTENT
Users retain ownership of their User Content.
By submitting User Content through the App, you grant Panoply Apps LLC a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, modify (for formatting or technical purposes), display, distribute, and otherwise use such User Content as reasonably necessary to operate, maintain, improve, secure, promote, and provide the Service.
You represent and warrant that:

• You own or have the necessary rights to submit the User Content.

• Your User Content does not violate the rights of any third party.

• Your User Content does not violate applicable law.

Panoply Apps LLC reserves the right, but not the obligation, to remove or restrict User Content that it reasonably believes violates these Terms, applicable law, or the rights of others.

22. ACCOUNT SUSPENSION AND TERMINATION
Panoply Apps LLC reserves the right, in its sole discretion and consistent with applicable law, to suspend, restrict, or terminate any account at any time, with or without prior notice, if it reasonably believes that a User has:

• Violated these Terms;

• Violated applicable law;

• Endangered another User;

• Submitted false information;

• Used the Service for fraudulent or unlawful purposes;

• Interfered with the operation or security of the App; or

• Otherwise created an unreasonable risk to the Service, its Users, or Panoply Apps LLC.

Termination or suspension of an account shall not limit any other rights or remedies available to Panoply Apps LLC under these Terms or applicable law.

23. VOLUNTARY PARTICIPATION AND ASSUMPTION OF RISK
Participation in slugging, informal ride-sharing, and any transportation activity coordinated through SlugTag is entirely voluntary.
By using the Service, you freely and knowingly choose to communicate with, meet, ride with, transport, or otherwise interact with other Users entirely at your own discretion.
You acknowledge that participation in any Ride involves inherent risks that cannot be eliminated, regardless of the care exercised by Panoply Apps LLC or any other person.
You expressly acknowledge and voluntarily assume all risks associated with using the Service, whether such risks are known or unknown, anticipated or unanticipated, foreseeable or unforeseeable.
These risks include, but are not limited to:

• Automobile collisions;

• Vehicle rollovers;

• Mechanical failures;

• Tire failures;

• Brake failures;

• Road hazards;

• Construction zones;

• Heavy traffic;

• Driver negligence;

• Passenger negligence;

• Reckless driving;

• Distracted driving;

• Fatigued driving;

• Impaired driving;

• Weather conditions;

• Flooding;

• Ice;

• Snow;

• Fog;

• Falling objects;

• Wildlife collisions;

• Injury;

• Permanent disability;

• Death;

• Assault;

• Battery;

• Sexual assault;

• Harassment;

• Stalking;

• Robbery;

• Theft;

• Kidnapping;

• Fraud;

• False imprisonment;

• Criminal acts;

• Property damage;

• Loss of personal property;

• Identity theft;

• Cybersecurity incidents;

• Delays;

• Missed appointments;

• Financial loss;

• Emotional distress;

• Communications failures;

• GPS inaccuracies;

• Mapping errors;

• Cellular outages;

• Internet outages;

• Device failures;

• Software defects;

• Third-party service failures; and

• The acts or omissions of any User or third party.

You acknowledge that Panoply Apps LLC cannot eliminate these risks and makes no representation that use of the Service is safe.

24. ACKNOWLEDGEMENT OF PERSONAL RESPONSIBILITY
You acknowledge that you are solely responsible for determining:

• Whether to use the Service;

• Whether to contact another User;

• Whether to meet another User;

• Whether to offer transportation;

• Whether to accept transportation;

• Whether to continue a Ride;

• Whether to terminate a Ride.

Panoply Apps LLC does not make these decisions on your behalf.
Each User is solely responsible for exercising his or her own judgment before, during, and after every Ride.

25. EMERGENCY FEATURES DISCLAIMER
SlugTag may provide optional Emergency Features intended to assist Users in certain situations.
These features may include:

• Emergency contacts;

• Silent emergency alerts;

• Emergency countdown timers;

• Incident reporting;

• Safety check-ins;

• Location sharing;

• Emergency SMS notifications; and

• Similar tools.

These features are provided solely as optional convenience features.
They are not emergency response services.
Panoply Apps LLC does not monitor Emergency Features in real time.
Emergency Features may fail or operate improperly due to factors including:

• Loss of cellular service;

• Internet outages;

• GPS inaccuracies;

• Device settings;

• Battery depletion;

• Operating system restrictions;

• Third-party service interruptions;

• Software defects;

• User error;

• Hardware malfunction; or

• Circumstances beyond our reasonable control.

Panoply Apps LLC makes no representation or warranty that any emergency message, alert, notification, or location information will be transmitted, delivered, received, viewed, acted upon, or responded to.
In any emergency, Users should immediately contact 911 or the appropriate local emergency services.

26. LOCATION SERVICES, GPS, AND AUGMENTED REALITY DISCLAIMER
SlugTag may utilize GPS, mapping services, Bluetooth, device sensors, augmented reality (“AR”), or other location technologies.
These technologies are provided solely to improve the User experience.
Location information may be inaccurate, delayed, incomplete, unavailable, or affected by environmental conditions.
AR guidance, pickup indicators, directional arrows, visual overlays, or similar features are provided solely as navigation aids.
Users must never rely exclusively upon the App when making decisions regarding:

• Crossing streets;

• Entering vehicles;

• Identifying Drivers;

• Identifying Passengers;

• Personal safety;

• Traffic conditions;

• Road conditions;

• Navigation.

Users remain solely responsible for observing their surroundings and exercising reasonable judgment.
Panoply Apps LLC disclaims all responsibility arising from inaccurate, delayed, or unavailable location information.

27. THIRD-PARTY SERVICES
The Service may rely upon third-party providers for:

• SMS messaging;

• Mapping;

• GPS;

• Cloud hosting;

• Authentication;

• Push notifications;

• Analytics;

• Payment processing (if offered in the future);

• Artificial intelligence services;

• Telecommunications; and

• Other technology services.
   

Panoply Apps LLC neither owns nor controls these providers.

Panoply Apps LLC is not responsible for outages, delays, failures, inaccuracies, security incidents, or other acts or omissions of third-party providers.

28. INSURANCE DISCLAIMER
Panoply Apps LLC does not provide:

• Automobile insurance;

• Commercial automobile insurance;

• Liability insurance;

• Medical insurance;

• Health insurance;

• Property insurance;

• Uninsured motorist coverage;

• Underinsured motorist coverage;

• Personal injury protection;

• Workers’ compensation coverage; or

• Any insurance of any kind relating to Rides arranged through SlugTag.

Drivers are solely responsible for maintaining any insurance required by applicable law.
Passengers are solely responsible for determining whether any insurance applies to their participation.
Nothing within the App shall be interpreted as creating insurance coverage.

29. HEALTH AND FITNESS TO PARTICIPATE
Each User represents that he or she is physically and mentally capable of participating in transportation activities arranged through the Service.
Users are solely responsible for determining whether illness, fatigue, medication, alcohol, drugs, weather conditions, emotional distress, or any other circumstance makes participation inappropriate.
Panoply Apps LLC makes no assessment of any User’s ability to safely participate.

30. NO WARRANTIES REGARDING USERS
Panoply Apps LLC makes no representations or warranties regarding any User’s:

• Identity;

• Character;

• Reputation;

• Competence;

• Driving ability;

• Vehicle maintenance;

• Insurance status;

• Licensing status;

• Honesty;

• Intentions;

• Compliance with law; or

• Overall suitability.

Users acknowledge that any profile information, profile photograph, verified phone number, future ratings, reports, badges, or other App features should never be interpreted as guarantees of another User’s trustworthiness or safety.

31. CONTINUING ACKNOWLEDGEMENT OF RISK
Each time you use SlugTag, communicate with another User, offer a Ride, accept a Ride, enter a vehicle, transport another User, or otherwise participate in any transportation activity coordinated through the Service, you reaffirm your understanding that:

• Participation is voluntary;

• Panoply Apps LLC is not providing transportation;

• Panoply Apps LLC does not guarantee safety;

• Panoply Apps LLC does not monitor Rides in real time;

• You assume all risks associated with your participation; and

• You remain solely responsible for your own decisions and conduct.
   

32. DISCLAIMER OF WARRANTIES
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS” BASIS.
PANOPLY APPS LLC MAKES NO EXPRESS OR IMPLIED WARRANTIES OF ANY KIND, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF:

• MERCHANTABILITY;

• FITNESS FOR A PARTICULAR PURPOSE;

• TITLE;

• NON-INFRINGEMENT;

• AVAILABILITY;

• RELIABILITY;

• ACCURACY;

• COMPLETENESS;

• SECURITY;

• QUALITY;

• PERFORMANCE; OR

• UNINTERRUPTED OPERATION.

WITHOUT LIMITING THE FOREGOING, PANOPLY APPS LLC DOES NOT WARRANT THAT:

• THE SERVICE WILL ALWAYS BE AVAILABLE;

• THE SERVICE WILL OPERATE WITHOUT INTERRUPTION;

• DEFECTS WILL BE CORRECTED;

• THE SERVICE WILL BE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;

• GPS OR LOCATION INFORMATION WILL BE ACCURATE;

• MESSAGES WILL BE DELIVERED;

• USERS WILL ACT LAWFULLY OR SAFELY; OR

• ANY RIDE WILL OCCUR AS PLANNED.

YOUR USE OF THE SERVICE IS ENTIRELY AT YOUR OWN RISK.

33. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PANOPLY APPS LLC, ITS OWNERS, MEMBERS, MANAGERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, SUCCESSORS, AND ASSIGNS SHALL NOT BE LIABLE FOR ANY LOSS, CLAIM, DAMAGE, LIABILITY, COST, EXPENSE, OR INJURY ARISING OUT OF OR RELATED TO:

• USE OF THE SERVICE;

• ANY RIDE;

• ANY USER’S CONDUCT;

• MOTOR VEHICLE ACCIDENTS;

• PERSONAL INJURY;

• DEATH;

• PROPERTY DAMAGE;

• VEHICLE DAMAGE;

• ASSAULT;

• BATTERY;

• HARASSMENT;

• THEFT;

• ROBBERY;

• FRAUD;

• CRIMINAL ACTS;

• COMMUNICATION FAILURES;

• SOFTWARE FAILURES;

• GPS OR LOCATION ERRORS;

• THIRD-PARTY SERVICE FAILURES;

• NETWORK OUTAGES;

• DEVICE FAILURES;

• USER CONTENT;

• USER REPORTS;

• DELAYED OR MISSED COMMUNICATIONS;

• LOSS OF DATA;

• LOSS OF BUSINESS;

• LOST PROFITS;

• LOST WAGES;

• LOST OPPORTUNITIES;

• EMOTIONAL DISTRESS;

• REPUTATIONAL HARM; OR

• ANY OTHER LOSS OR DAMAGE ARISING FROM USE OF THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PANOPLY APPS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
WHERE APPLICABLE LAW DOES NOT PERMIT THE EXCLUSION OF CERTAIN DAMAGES OR THE LIMITATION OF LIABILITY, THIS SECTION SHALL APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.

34. RELEASE OF CLAIMS
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU VOLUNTARILY RELEASE, WAIVE, DISCHARGE, AND COVENANT NOT TO ASSERT CLAIMS AGAINST PANOPLY APPS LLC AND ITS OWNERS, MEMBERS, MANAGERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, SUCCESSORS, AND ASSIGNS FOR ANY CLAIMS, DEMANDS, DAMAGES, LOSSES, COSTS, LIABILITIES, CAUSES OF ACTION, OR EXPENSES ARISING OUT OF OR RELATED TO:

• YOUR USE OF THE SERVICE;

• ANY RIDE;

• YOUR DECISION TO OFFER OR ACCEPT TRANSPORTATION;

• THE CONDUCT OF ANY USER;

• ANY MOTOR VEHICLE ACCIDENT;

• PERSONAL INJURY;

• DEATH;

• PROPERTY DAMAGE;

• LOSS OF PERSONAL PROPERTY;

• COMMUNICATION FAILURES;

• FAILURE OF EMERGENCY FEATURES;

• LOCATION INACCURACIES;

• THIRD-PARTY SERVICE FAILURES; OR

• ANY OTHER EVENT ARISING FROM PARTICIPATION IN INFORMAL RIDE-SHARING.

THIS RELEASE IS INTENDED TO APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.
NOTHING IN THESE TERMS SHALL BE CONSTRUED AS WAIVING ANY RIGHT OR LIABILITY THAT CANNOT LAWFULLY BE WAIVED.

35. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Panoply Apps LLC and its owners, members, managers, officers, directors, employees, contractors, agents, affiliates, successors, and assigns from and against any and all claims, demands, actions, damages, liabilities, judgments, settlements, fines, penalties, losses, costs, and expenses (including reasonable attorneys’ fees and litigation expenses) arising out of or relating to:

• Your use of the Service;

• Your participation in any Ride;

• Your violation of these Terms;

• Your violation of applicable law;

• Your negligence or misconduct;

• Your infringement of another person’s rights; or

• Any User Content you submit.

This obligation survives termination of your account and these Terms.

36. FORCE MAJEURE
Panoply Apps LLC shall not be liable for any delay, interruption, degradation, or failure of the Service resulting from causes beyond its reasonable control, including but not limited to:

• Natural disasters;

• Hurricanes;

• Tornadoes;

• Floods;

• Fires;

• Earthquakes;

• Severe weather;

• Public health emergencies;

• Epidemics or pandemics;

• Acts of terrorism;

• War;

• Civil unrest;

• Government actions;

• Labor disputes;

• Utility failures;

• Electrical outages;

• Internet outages;

• Cellular network failures;

• GPS outages;

• Satellite failures;

• Cyberattacks;

• Ransomware;

• Cloud hosting failures;

• Third-party service interruptions; or

• Any other event beyond our reasonable control.

37. INTELLECTUAL PROPERTY
Except for User Content, all rights, title, and interest in and to the Service, including its software, source code, object code, text, graphics, logos, icons, designs, trademarks, service marks, databases, functionality, and related intellectual property, are owned by or licensed to Panoply Apps LLC.
No ownership interest is transferred to you by your use of the Service.
You may not:

• Copy;

• Modify;

• Reverse engineer (except where prohibited by law);

• Decompile;

• Disassemble;

• Distribute;

• Sell;

• Lease;

• License;

• Create derivative works from; or

• Commercially exploit

any portion of the Service without prior written permission from Panoply Apps LLC.

38. FEEDBACK
If you submit ideas, suggestions, comments, feature requests, bug reports, or other feedback regarding the Service, you agree that:

• Such feedback is voluntary;

• Panoply Apps LLC may use the feedback without restriction;

• No compensation is owed to you;

• No confidential relationship is created by the submission of feedback; and

• Panoply Apps LLC may incorporate your feedback into the Service without obligation to you.

39. THIRD-PARTY LINKS AND CONTENT
The Service may contain links to third-party websites, applications, or services for your convenience.
Panoply Apps LLC does not own, control, endorse, or assume responsibility for third-party websites, content, products, or services.
Your use of any third-party website or service is solely at your own risk and subject to that third party’s terms and privacy policies.

40. COOPERATION WITH LAW ENFORCEMENT
Panoply Apps LLC reserves the right to cooperate with law enforcement authorities, regulatory agencies, and governmental entities when required by law or when we reasonably believe such cooperation is necessary to:

• Comply with legal obligations;

• Protect the safety of Users or the public;

• Investigate suspected unlawful activity;

• Protect our legal rights or property; or

• Prevent fraud or abuse of the Service.

Such cooperation may include preserving, using, or disclosing information as permitted or required by applicable law and our Privacy Policy.

41. SURVIVAL
The provisions of these Terms that by their nature should survive termination—including, without limitation, provisions regarding assumption of risk, disclaimers, limitations of liability, releases, indemnification, intellectual property, governing law, dispute resolution, and any accrued rights or obligations—shall survive the termination of your account or your use of the Service.

42. PRIVACY
Your use of the Service is also governed by the SlugTag Privacy Policy, which is incorporated into these Terms by reference.
By using the Service, you acknowledge that:

• You have read the Privacy Policy;

• You understand how your information may be collected, used, stored, and disclosed;

• You consent to such collection and use as described therein.

Nothing contained within these Terms expands or limits any privacy rights that cannot legally be waived under applicable law.

43. MODIFICATIONS TO THE SERVICE
Panoply Apps LLC continually improves and updates the Service.
Accordingly, we reserve the right, at any time and without prior notice, to:

• Add, remove, or modify features;

• Suspend or discontinue portions of the Service;

• Change system requirements;

• Correct errors;

• Improve security;

• Modify functionality;

• Restrict availability in certain geographic areas; or

• Discontinue the Service in whole or in part.

Panoply Apps LLC shall not be liable for any modification, suspension, interruption, or discontinuation of the Service.

44. MODIFICATIONS TO THESE TERMS
Panoply Apps LLC may revise these Terms from time to time.
When material changes are made, we may provide notice through the App, by email, by SMS, or by other reasonable electronic means.
Your continued use of the Service after updated Terms become effective constitutes acceptance of those revised Terms.
If you do not agree to the revised Terms, you must discontinue use of the Service.

45. DISPUTE RESOLUTION (SUBJECT TO ATTORNEY REVIEW)
The following section is intended as a placeholder pending review by legal counsel.
To the fullest extent permitted by applicable law, the parties agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service should first be resolved through good-faith informal negotiations.
If informal resolution is unsuccessful, the parties may agree to submit the dispute to binding arbitration administered by a nationally recognized arbitration organization in accordance with its applicable consumer arbitration rules.
Unless prohibited by applicable law:

• Arbitration shall be conducted on an individual basis.

• Neither party shall participate in a class action, class arbitration, collective action, or representative proceeding.

• Each party knowingly waives any right to trial by jury for claims subject to arbitration.

Nothing in this Section shall prevent either party from seeking temporary or preliminary injunctive relief where permitted by law.
This Section should be reviewed and finalized by legal counsel prior to publication.

46. GOVERNING LAW
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict-of-law principles, except to the extent that applicable federal law or the non-waivable laws of another jurisdiction require otherwise.
These Terms are intended to apply to Users located in:

• Virginia;

• Maryland; and

• the District of Columbia.

Nothing contained herein shall be interpreted as waiving any consumer protection rights or statutory rights that cannot lawfully be waived under the laws of Virginia, Maryland, the District of Columbia, or the United States.

47. VENUE
If a dispute is not subject to arbitration or arbitration is determined to be unenforceable, the parties agree that exclusive jurisdiction and venue shall lie in the state or federal courts located within the Commonwealth of Virginia, unless applicable law requires otherwise.
Each party consents to the personal jurisdiction of such courts.

48. SEVERABILITY
If any provision of these Terms is determined to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permitted by law.
The remaining provisions shall remain in full force and effect.
Any unenforceable provision shall be modified only to the extent necessary to render it enforceable while preserving its original intent as closely as possible.

49. NO WAIVER
Failure by Panoply Apps LLC to enforce any provision of these Terms shall not constitute a waiver of that provision or of any other provision.
Any waiver must be in writing and signed by an authorized representative of Panoply Apps LLC.

50. ASSIGNMENT
You may not assign, transfer, delegate, or otherwise convey any rights or obligations under these Terms without the prior written consent of Panoply Apps LLC.
Panoply Apps LLC may assign these Terms, in whole or in part, in connection with a merger, acquisition, corporate reorganization, sale of assets, financing transaction, or by operation of law.

51. ENTIRE AGREEMENT
These Terms, together with the Privacy Policy and any other policies expressly incorporated by reference, constitute the complete and exclusive agreement between you and Panoply Apps LLC concerning the Service.
They supersede all prior or contemporaneous agreements, understandings, communications, and representations relating to the Service.

By clicking “I Agree,” “Accept,” “Create Account,” “Register,” downloading the App, accessing the Service, or otherwise using SlugTag, you acknowledge and agree that:

• You have carefully read these Terms in their entirety;

• You understand these Terms;

• You voluntarily agree to be legally bound by these Terms;

• You have had the opportunity to consult legal counsel before accepting these Terms if you so desired;

• You understand that participation in rides coordinated through SlugTag is entirely voluntary;

• You understand that Panoply Apps LLC does not provide transportation services;

• You understand that Panoply Apps LLC does not guarantee the safety, conduct, identity, or qualifications of any User;

• You understand that you assume all risks associated with using the Service and participating in any Ride; and

• Your electronic acceptance has the same legal force and effect as your handwritten signature.

ACKNOWLEDGMENT OF RISK
BY USING SLUGTAG, YOU EXPRESSLY ACKNOWLEDGE THAT INFORMAL RIDE-SHARING INVOLVES INHERENT RISKS, INCLUDING THE RISK OF SERIOUS INJURY, PROPERTY DAMAGE, OR DEATH.
YOU FURTHER ACKNOWLEDGE THAT PANOPLY APPS LLC DOES NOT PROVIDE TRANSPORTATION SERVICES, DOES NOT GUARANTEE THE SAFETY OF ANY USER OR RIDE, DOES NOT MONITOR RIDES IN REAL TIME, AND DOES NOT ASSUME RESPONSIBILITY FOR THE CONDUCT OF ANY USER.
YOU VOLUNTARILY ACCEPT AND ASSUME ALL RISKS ASSOCIATED WITH YOUR USE OF THE SERVICE TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.
